Terms of Use
Effective Date: 1 JULY 2026
1. Overview
These Terms of Use govern access to and use of Lythe's public websites, documentation, public-facing materials, publicly available demos, example simulations, public persona examples, evaluation examples, waitlists, forms, product dashboards, pilot environments, APIs, integrations, simulation workflows, reports, and related online resources for Fraser Simulation Studio (collectively, the "Services").
"Lythe," "we," "us," or "our" means Lythe Inc. and, where expressly identified in an applicable Order Form, customer agreement, service notice, or other written agreement, Lythe Pte. Ltd. or another applicable Lythe affiliate.
"Fraser Simulation Studio" means Lythe's AI-powered simulation and automated evaluation product for testing websites, product flows, visual experiences, and Android applications using AI personas and subagents to evaluate user experience, product performance, bugs, messaging, and product research hypotheses.
"Customer," "User," "you," or "your" means the business, startup, enterprise, or other organization accessing or using the Services, and any employee, contractor, representative, administrator, or authorized user acting on its behalf.
The Services are intended for business use only. They are not intended for personal, household, or consumer use.
By accessing or using the Services, you agree to these Terms of Use. If you do not agree, you must not access or use the Services.
2. Relationship to Order Forms and Other Agreements
These Terms of Use apply to public access, public demos, product evaluations, self-serve use, unpaid pilots, paid pilots, enterprise trials, and other business use of the Services unless a signed written agreement states otherwise.
If Lythe and a customer enter into an Order Form, pilot agreement, master services agreement, data processing addendum, security addendum, or other signed written agreement, that signed agreement controls to the extent of any conflict.
The Lythe Acceptable Use Policy, Lythe AI Use Policy, Lythe Privacy Policy, Lythe Cookie Policy, Data Processing Addendum, subprocessor disclosures, and other product-specific policies may also apply to your use of the Services.
3. Services, Pilots, and Evaluation Access
Lythe may provide access to Fraser Simulation Studio through public demos, private pilots, enterprise trials, product dashboards, APIs, integrations, reports, documentation, and related support.
Pilot access is provided for evaluation, testing, and product validation unless Lythe expressly approves production use in writing. Lythe may add, modify, suspend, restrict, or discontinue features, pilots, public demos, previews, experimental tools, reports, simulations, AI personas, subagents, or outputs at any time.
Public demos, previews, beta features, experimental workflows, example personas, and example outputs may be incomplete, inaccurate, unavailable, biased, unrealistic, or unsuitable for production or business reliance.
5. Acceptable Use
You may use the Services only for lawful business purposes and in accordance with these Terms of Use, applicable policies, applicable agreements, and applicable law.
You may only use Fraser Simulation Studio, subagents, simulations, visual evaluations, and bug-testing workflows on websites, applications, APK files, product flows, prototypes, systems, or digital assets that you own, operate, control, or are expressly authorized to test.
You are responsible for ensuring that all URLs, screenshots, APK files, product materials, customer data, call recordings, transcripts, research data, and other materials submitted to the Services are accurate, lawful, authorized, and appropriate for the intended use.
6. Prohibited Uses
You may not use the Services, directly or indirectly, to:
- Violate applicable laws, regulations, sanctions, export controls, platform rules, contractual restrictions, or third-party rights.
- Commit fraud, phishing, impersonation, social engineering, harassment, abuse, deception, or misleading activity.
- Introduce malware, exploit code, harmful payloads, malicious APK files, unauthorized executable files, or unauthorized automated traffic.
- Bypass access controls, rate limits, monitoring, security controls, usage restrictions, or technical safeguards.
- Scrape, crawl, probe, attack, disrupt, overload, reverse engineer, or attempt unauthorized access to the Services, Lythe's systems, or any third-party system, except to the extent such restriction is prohibited by applicable law.
- Test, scrape, monitor, access, scan, crawl, or analyze third-party websites, applications, prototypes, systems, APK files, product flows, or digital assets that you do not own, operate, control, or have express authorization to test.
- Upload, transmit, generate, or store content that is unlawful, infringing, defamatory, deceptive, abusive, harmful, malicious, or unauthorized.
- Present simulated feedback, AI persona responses, visual evaluations, bug-testing results, product critiques, or synthetic research outputs as real user interactions, real customer interviews, verified vulnerability reports, statistically valid survey results, or guaranteed market truth unless independently validated through appropriate methods.
- Use the Services to make regulated, high-impact, safety-critical, financial, medical, legal, employment, housing, insurance, or legally binding decisions.
- Upload confidential information, personal data, customer records, call recordings, transcripts, CRM records, sensitive information, APK files, executable files, or proprietary third-party materials unless you have all required rights, notices, consents, and authority to do so.
- Resell, sublicense, make available, or provide service-bureau access to the Services without Lythe's written permission.
Lythe may restrict, suspend, block, or terminate access to the Services where Lythe reasonably believes that use violates these Terms of Use, applicable policies, applicable agreements, or applicable law, or creates legal, safety, security, compliance, reputational, or platform-integrity risk.
7. Customer Data and Submissions
"Customer Data" means prompts, scripts, instructions, business rules, simulation settings, evaluation criteria, files, records, datasets, screenshots, websites, URLs, prototypes, landing pages, product flows, APK files, research notes, customer feedback, user personas, call recordings, transcripts, summaries, CRM records, integration data, and other materials submitted to or made available through the Services by or on behalf of a customer.
Customer retains ownership of Customer Data. Customer grants Lythe a non-exclusive, worldwide, royalty-free license to host, process, transmit, reproduce, analyze, transform, and display Customer Data as necessary to provide, operate, secure, support, troubleshoot, evaluate, improve, and prevent abuse of the Services, and as otherwise permitted by the applicable agreement.
Customer represents and warrants that it has all rights, notices, consents, permissions, lawful bases, and authority necessary to provide Customer Data to Lythe and to authorize Lythe to process Customer Data as described in these Terms, the Privacy Policy, and any applicable Data Processing Addendum.
Use of Customer Data in public demos or general-access Site Resources should be limited. Customers must not submit confidential information, personal data, customer records, call recordings, transcripts, CRM data, sensitive information, proprietary third-party materials, APK files, or executable files through public demos or general-access resources unless Lythe has expressly provided an approved secure upload workflow for that purpose.
8. Voice, Call, and Conversation Data
Where customers provide or connect customer conversations, Lythe may process customer-provided call audio, call recordings, transcripts, summaries, notes, conversation metadata, speaker identifiers, timestamps, call duration, call outcomes, and related interaction records.
This information may be used to generate, configure, evaluate, and improve AI personas, simulations, product evaluation workflows, and related outputs for the customer's own use.
Lythe does not provide outbound calling, voice agent deployment, telemarketing, robocalling, call routing, or automated phone agent services unless expressly agreed in a written agreement.
9. APK, URL, and Visual Testing
Fraser Simulation Studio may enable customers to use subagents, AI personas, simulations, visual evaluations, and bug-testing workflows to analyze websites, landing pages, product flows, screenshots, prototypes, and Android application packages (APK files).
Customers may only submit APK files, URLs, screenshots, product flows, prototypes, and digital assets that they own, operate, control, or are expressly authorized to test. Customers must not use the Services to test, scrape, monitor, access, or analyze third-party websites, applications, systems, APK files, or content without proper authorization.
Customers must not upload malicious, unlawful, unauthorized, or third-party APK files. Lythe may scan, restrict, reject, quarantine, or remove uploaded files where necessary to protect the Services, users, customers, or third parties.
10. AI Processing, Model Training, and Service Improvement
Lythe may process Customer Data, customer-provided call recordings, transcripts, conversation metadata, uploaded materials, product materials, simulation inputs, AI persona configurations, feedback, and evaluation results to provide, operate, secure, support, troubleshoot, and evaluate the Services in accordance with customer instructions, applicable agreements, and applicable law.
Lythe does not use Customer Data, call recordings, transcripts, CRM data, lead data, product materials, research data, simulation inputs, AI persona outputs, or other personal data submitted to or generated through a customer's use of the Services to train Lythe models, shared models, general-purpose models, or models or systems used for the benefit of other customers, unless expressly agreed in a written agreement with the customer and permitted by applicable law.
Lythe does not permit third-party model or AI infrastructure providers to use Customer Data, call recordings, transcripts, research data, simulation inputs, AI persona outputs, or other personal data processed through the Services to train their models.
Lythe may use de-identified or aggregated information that does not identify individuals or customers to analyze service performance, security, reliability, abuse patterns, and product usage, provided that such information is handled in accordance with applicable law and applicable customer agreements.
11. Outputs
The Services may generate AI persona responses, simulated feedback, visual evaluations, bug-testing results, product critiques, reports, scores, recommendations, research-preparation outputs, and related analytics ("Outputs").
Subject to these Terms and any applicable signed agreement, Customer may use Outputs for its internal business evaluation, product research, product development, and decision-support purposes.
Outputs are synthetic, probabilistic, and generated from models, simulations, configurations, Customer Data, and system behavior. Outputs may be inaccurate, incomplete, biased, unrealistic, inconsistent, unexpected, offensive, non-compliant, or unsuitable for a particular use case.
Outputs should not be treated as definitive user research, verified customer feedback, statistically valid survey data, verified vulnerability reports, guaranteed bug findings, or guaranteed market truth unless independently validated through appropriate methods.
12. Intellectual Property
Lythe and its licensors own all rights, title, and interest in and to the Services and Fraser Simulation Studio, including software, systems, APIs, documentation, designs, text, graphics, branding, trademarks, demos, evaluation materials, AI persona systems, simulation workflows, models, prompts, analytics, scoring methods, and other technology or content, excluding Customer Data and Outputs where applicable.
Subject to these Terms, Lythe grants Customer a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Services for lawful business evaluation and pilot purposes.
Customer may not copy, modify, distribute, sell, sublicense, reverse engineer, decompile, disassemble, create derivative works from, or otherwise exploit the Services except as expressly permitted by Lythe in writing or to the extent such restriction is prohibited by applicable law.
13. Feedback
If you provide ideas, suggestions, requests, bug reports, recommendations, or other feedback about Fraser Simulation Studio or the Services, you grant Lythe a perpetual, irrevocable, worldwide, royalty-free right to use and exploit that feedback without restriction or compensation to you.
14. Privacy, Security, and Data Processing
Lythe processes personal data relating to the Services as described in the Lythe Privacy Policy. Lythe may also use cookies and similar technologies as described in the Lythe Cookie Policy.
Where Lythe processes personal data on behalf of a customer, the applicable Data Processing Addendum or customer agreement may further govern that processing.
Lythe uses administrative, technical, and organizational safeguards designed to protect personal information against unauthorized access, loss, misuse, disclosure, alteration, and destruction. No system is completely secure, and Customer remains responsible for configuring permissions, integrations, users, retention settings, and uploads responsibly.
15. Third-Party Services and Subprocessors
The Services may link to, integrate with, or rely on third-party websites, tools, platforms, cloud infrastructure, analytics tools, transcription providers, AI infrastructure providers, payment processors, support tools, security tools, storage providers, or other services.
Lythe is not responsible for third-party services, content, availability, security, data handling, or practices outside Lythe's reasonable control.
Payments, where applicable, may be processed by Stripe. Lythe does not directly collect, store, or process full payment card numbers, bank account details, or payment credentials.
16. Fees, Payment, and Taxes
If fees apply to a pilot, paid plan, enterprise trial, usage-based plan, simulation pack, or other Services, Customer must pay the fees stated in the applicable Order Form, checkout flow, invoice, or written agreement.
Fees are non-refundable unless expressly stated otherwise in writing. Customer is responsible for applicable taxes, duties, and governmental charges, excluding taxes based on Lythe's net income.
Lythe may suspend or restrict access for unpaid amounts, payment failures, chargebacks, suspected fraud, or other payment-related risk.
17. Confidentiality
If either party receives non-public business, technical, financial, product, security, customer, or operational information from the other party that should reasonably be understood to be confidential, the receiving party must use reasonable care to protect that information and use it only for purposes of the Services, pilot, evaluation, or applicable agreement.
Confidentiality obligations do not apply to information that is publicly available through no fault of the receiving party, already known without restriction, independently developed without use of the confidential information, or rightfully received from a third party without a duty of confidentiality.
18. Suspension and Termination
Lythe may suspend, restrict, or terminate access to the Services, accounts, workspaces, API keys, integrations, uploads, simulations, reports, or pilots where Lythe reasonably believes that use violates these Terms, applicable policies, applicable agreements, or applicable law, or creates legal, safety, security, compliance, reputational, payment, or platform-integrity risk.
Customer may stop using the Services at any time. Termination or expiration does not affect payment obligations, confidentiality obligations, restrictions on misuse, disclaimers, limitations of liability, indemnity obligations, or other provisions that by their nature should survive.
19. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, LYTHE DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, SECURITY, AND ERROR-FREE OPERATION.
LYTHE DOES NOT WARRANT THAT THE SERVICES, PUBLIC DEMOS, PILOTS, DOCUMENTATION, AI PERSONAS, SUBAGENTS, SIMULATIONS, REPORTS, BUG-TESTING RESULTS, VISUAL EVALUATIONS, OR AI-GENERATED OUTPUTS WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, ACCURATE, COMPLETE, REPRESENTATIVE OF REAL USERS, OR SUITABLE FOR ANY PARTICULAR PRODUCT DECISION, RESEARCH PROCESS, BUSINESS PROCESS, REGULATED USE CASE, OR CUSTOMER OUTCOME.
20. Limitation of Liability and Indemnity
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LYTHE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, LOST PROFITS, LOST REVENUE, LOST BUSINESS, LOSS OF GOODWILL, LOSS OF DATA, PRODUCT DECISIONS, RESEARCH ERRORS, MARKET LOSSES, SECURITY FINDINGS, MISSED BUGS, OR COST OF SUBSTITUTE SERVICES, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF LYTHE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LYTHE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF USD $100 OR THE AMOUNTS PAID BY CUSTOMER TO LYTHE FOR THE SERVICES GIVING RISE TO THE CLAIM IN THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.
Customer will indemnify, defend, and hold harmless Lythe and its affiliates, officers, directors, employees, contractors, and agents from and against claims, damages, liabilities, losses, costs, and expenses arising out of or relating to Customer Data, unauthorized testing of third-party websites, systems, APK files, or digital assets, violation of third-party rights, violation of law, or Customer's breach of these Terms or applicable policies.
21. Changes to These Terms
Lythe may update these Terms of Use from time to time to reflect changes in the Services, legal requirements, safety controls, business practices, or operational needs. If Lythe makes material changes, Lythe will use reasonable efforts to provide notice by posting updated Terms of Use or through other appropriate means.
Unless otherwise required by applicable law or a signed agreement, changes will apply prospectively from the effective date stated in the updated Terms of Use. Continued use of the Services after the effective date constitutes acceptance of the updated Terms of Use.
22. Governing Law and Disputes
These Terms of Use are governed by the laws of the State of Delaware, United States, without regard to conflict of law rules. The parties agree to the exclusive jurisdiction of the state and federal courts located in Delaware, unless a signed agreement expressly states otherwise.
23. Miscellaneous
These Terms of Use, together with the Lythe Privacy Policy, Lythe Cookie Policy, Lythe Acceptable Use Policy, Lythe AI Use Policy, Data Processing Addendum, applicable Order Forms, and any other policies expressly incorporated into these Terms, constitute the entire agreement between you and Lythe regarding the Services, except to the extent a signed agreement states otherwise.
If any provision is unenforceable, the remaining provisions remain in effect. You may not assign these Terms without Lythe's prior written consent. Lythe may assign these Terms in connection with a merger, acquisition, corporate reorganization, financing, or sale of assets. No waiver is effective unless in writing. These Terms do not create a partnership, joint venture, agency, fiduciary, or employment relationship.
