Overview

These Terms of Service ("Terms") are a legally binding agreement between you ("you" or "User") and Lythe Pte. Ltd. ("Lythe," "we," "us," or "our"). These Terms govern your access to and use of Lythe’s chat-first matching network and related services, including our AI agent interface known as "Skye" (collectively, the "Services").

By using the Services (including messaging Skye on WhatsApp or Telegram or using our website or forms), you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

1. What these Terms apply to

These Terms apply to your use of the Services, including when you:

  • message or interact with Skye via messaging platforms (including WhatsApp and Telegram);
  • create or update a matching profile;
  • post, apply for, accept, coordinate, or complete gigs;
  • visit our websites, forms, or landing pages; or
  • communicate with us for support, feedback, or operational reasons.

2. Important terms (Definitions)

To make these Terms easier to read:

Services: Lythe’s platform and related features, including Skye and any websites or forms we operate.

Skye: Lythe’s AI agent interface used for onboarding, matching, and coordination.

Gig: a task, job, assignment, event role, project, or short-term work opportunity made available through the Services.

Messaging Platforms:third-party messaging services used to communicate with Skye (e.g., WhatsApp, Telegram).

Gig Poster: a user or partner that posts a gig.

Gig Doer: a user who applies for or completes a gig.

Content: any text, messages, images, files, gig listings, profile details, feedback, or other materials submitted through the Services.

Capitalized terms not defined here may be defined in our Privacy Policy.

3. Eligibility

You must be at least 13 years old to use the Services. If you are under the age required to provide valid consent in your jurisdiction, you may use the Services only with appropriate permission.

Some gigs may have additional eligibility requirements, including minimum age, campus rules, background checks, or legal right-to-work requirements. You are responsible for ensuring you meet any gig-specific and legal requirements.

4. The Services (What we do)

Lythe provides a chat-first matching network that helps connect users (often students) to gigs. Skye may help with onboarding, matching, introductions, and coordination.

Important: Lythe is not an employer, staffing agency, or recruiter. Unless explicitly stated in writing for a particular program, Lythe does not:

  • employ Gig Doers;
  • guarantee that a gig will be available, suitable, safe, or paid; or
  • control the conduct of users, gig posters, or third parties.

5. Accounts, profiles, and communications

5A. Your profile

You agree to provide accurate information (e.g., availability, skills, preferences) and keep it updated. Inaccurate information may lead to poor matches or removal from the Services.

5B. Messaging and service communications

By using the Services, you consent to receiving service-related communications (e.g., match alerts, confirmations, reminders, policy updates) through Messaging Platforms or other channels you provide.

5C. "Stop" requests / opt-out

If you tell Skye (or Lythe) that you do not want to receive messages anymore, we will take reasonable steps to stop sending non-essential messages to that number or handle. Note that some messages may still be required for security, legal compliance, or to complete an in-progress transaction (where applicable).

6. Gigs: posting, applying, and coordination

6A. Gig postings

If you post a gig, you represent that:

  • the gig is lawful, accurate, and not misleading;
  • you have the right to offer the gig and pay as promised (if payment is involved);
  • the gig does not request prohibited activities (see Section 7); and
  • you will communicate clearly about location, timing, requirements, and pay.

6B. Applying and accepting gigs

If you apply for or accept a gig, you agree to:

  • show up on time and act professionally;
  • complete the gig as described (or communicate early if you cannot);
  • follow the gig’s reasonable instructions and safety rules; and
  • comply with applicable laws and any campus or venue requirements.

6C. Payments, disputes, and taxes

Unless Lythe explicitly states otherwise, payment arrangements are between Gig Poster and Gig Doer. Lythe may (now or later) provide optional tooling to facilitate payments or payouts, but does not guarantee payment unless explicitly stated.

You are responsible for any taxes, reporting, and legal obligations related to income received.

6D. No-shows and cancellations

We may enforce reliability rules (for example, warnings, temporary limitations, or suspensions) for repeated no-shows, late cancellations, scams, or abusive behavior.

7. Acceptable use (What you can’t do)

You agree not to use the Services to:

  • request, offer, promote, or coordinate illegal activities;
  • request or provide academic dishonesty services (including cheating, impersonation, or submitting someone else’s work as your own);
  • harass, threaten, discriminate, or abuse others;
  • share others’ personal data without permission;
  • spam users or manipulate the Services;
  • attempt to bypass safety checks or platform controls; or
  • upload malware or attempt unauthorized access.

We may remove content, limit distribution, or suspend or terminate accounts for violations.

8. AI and automation disclosure (Skye)

Skye may use AI-enabled systems to interpret your messages, extract skills or availability, propose matches, and help coordinate gigs.

AI is not perfect. You agree that:

  • Skye’s outputs may be incorrect or incomplete;
  • you will verify important details (pay, location, timing, safety);
  • you will not rely on Skye as professional advice (legal, medical, financial); and
  • Lythe is not responsible for decisions you make solely based on AI outputs.

9. Content you provide

9A. Your ownership

You retain ownership of your Content.

9B. License to Lythe

You grant Lythe a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify (e.g., format), process, and display your Content only to operate, maintain, and improve the Services, including matching and coordination.

9C. Your responsibilities

You represent you have the rights to submit the Content and that it does not violate laws or third-party rights.

10. Lythe’s intellectual property

The Services, including Skye workflows, branding, and underlying software, are owned by Lythe or its licensors and are protected by intellectual property laws. You may not copy, reverse engineer, or exploit the Services except as permitted by law or with our written permission.

11. Third-party services

The Services may rely on third-party providers (e.g., messaging platforms, cloud, analytics, AI processing, mapping). Your use of those services may be subject to their own terms and policies.

12. Privacy

Our Privacy Policy explains how we collect, use, disclose, store, transfer, and protect personal data in connection with the Services, including Skye and Messaging Platforms.

13. Suspension and termination

We may suspend or terminate your access to the Services if we reasonably believe you:

  • violated these Terms;
  • created risk or possible legal exposure;
  • engaged in fraud or abuse; or
  • repeatedly disrupted the community.

You may stop using the Services at any time.

14. Disclaimers

The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Lythe disclaims all warranties, express or implied, including fitness for a particular purpose and non-infringement.

Lythe does not guarantee that gigs will be available, that matches will be successful, that users will perform as promised, or that gigs will be safe, lawful, or paid.

15. Limitation of liability

To the maximum extent permitted by law, Lythe will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or other intangible losses arising from your use of (or inability to use) the Services.

To the maximum extent permitted by law, Lythe’s total liability for any claim relating to the Services will not exceed the greater of:

  • S$100; or
  • the amount you paid Lythe (if any) in the 3 months before the event giving rise to the claim.

(Some jurisdictions do not allow certain limitations; in that case, the limitation applies to the maximum extent permitted.)

16. Indemnity

You agree to defend, indemnify, and hold harmless Lythe and its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of:

  • your use of the Services;
  • your Content;
  • your gigs (posted or completed);
  • your violation of these Terms; or
  • your violation of any rights of another person or entity.

17. Governing law and disputes

These Terms are governed by the laws of Singapore.

You agree to submit to the exclusive jurisdiction of the courts of Singapore, unless Lythe specifies an alternative dispute resolution process in writing.

18. Changes to these Terms

We may update these Terms from time to time. The updated version will be posted with a revised "Last Updated" date. If changes are material, we will take reasonable steps to notify you through the Services.
