Terms of Use

Overview

These Terms of Use ("Terms") are a legally binding agreement between you ("you" or "User") and Lythe Pte. Ltd. ("Lythe", "we", "us", or "our"). They govern your access to and use of Lythe’s conversation infrastructure, including our agentic bots, APIs, SDKs, websites and related services (collectively, the "Services").

By accessing or using the Services (such as messaging or calling our agentic bots through messaging or voice platforms, using our APIs/SDKs, or visiting our websites or forms), you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

1. WHAT DO THESE TERMS APPLY TO?

These Terms apply to your use of the Services, including when you:

  • message or interact with our agentic bots via messaging or voice platforms (including WhatsApp, Telegram, Slack or other platforms);
  • integrate our chat or voice SDKs, APIs or other Lythe services into your applications or systems;
  • create or update a developer, organisation or user profile;
  • visit our websites, forms, or landing pages; or
  • communicate with us for support, feedback, or operational reasons.

2. KEY DEFINITIONS

To make these Terms easier to read:

  • "Services" refers to Lythe’s platform and related features, including our agentic conversation runtime, APIs, SDKs, websites and any forms we operate.
  • "Agentic Bot" refers to Lythe’s AI-powered conversational agent and associated runtime used for onboarding, automation and coordination across chat and voice channels.
  • "Organisation" refers to a business customer and its authorised users that integrate our agentic bots and services.
  • "Messaging Platforms" and "Voice Platforms" refers to any Third-party messaging or voice services used to communicate with our agentic bots (e.g., WhatsApp, Telegram, Slack and other telephony or chat platforms).
  • "Content" refers to any text, messages, audio, images, files, instructions, prompts or other materials submitted through the Services.

Capitalised terms not defined here may be defined in our Privacy Policy.

3. ELIGIBILITY

You must be at least 13 years old to use the Services. If you are under the age required to provide valid consent in your jurisdiction, you may use the Services only with appropriate permission. If you are using the Services on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms and that you have all necessary rights to submit data to us.

4. PRIVACY

Our Privacy Policy explains how we collect, use, disclose, store, transfer and protect personal data in connection with the Services, including agentic bots and Messaging & Voice Platforms. By using the Services, you acknowledge that you have read and understand the Privacy Policy.

5. USE OF AI AND AGENTIC FEATURES

Our agentic bots use automated and AI-enabled systems to interpret your messages, generate responses, call tools, maintain context and coordinate tasks. AI outputs may be inaccurate or incomplete. You agree to verify important details before acting, including any logistical, safety or compliance information. Do not rely on AI outputs as professional advice (including legal, medical or financial advice). Lythe is not responsible for decisions you make based solely on AI outputs.

6. ACCOUNTS AND COMMUNICATIONS

You agree to provide accurate and up-to-date information (e.g., contact details, integration configurations and permissions) and keep it updated. You are responsible for safeguarding your credentials and ensuring that only authorised individuals access your accounts or integrations.

By using the Services, you consent to receiving service-related communications (e.g., operational alerts, confirmations, reminders, policy updates) through Messaging & Voice Platforms or other channels you provide. If you tell Lythe (or our bots) that you do not want to receive non-essential messages, we will take reasonable steps to stop sending such messages. Some messages may still be required for security, legal compliance or to complete an in-progress transaction.

7. ACCEPTABLE USE

You agree not to use the Services to:

  • violate any law, regulation or third-party rights;
  • request, promote or coordinate illegal activities;
  • harass, threaten, discriminate or abuse others;
  • impersonate any person or misrepresent your identity;
  • share personal data of others without permission;
  • spam, send unsolicited or bulk communications or otherwise misuse the Services;
  • attempt to bypass safety checks, rate limits or platform controls;
  • upload or transmit malware or attempt unauthorised access to or interference with any system;
  • misrepresent AI outputs as human communications for deception or fraud;
  • generate or distribute content that is defamatory, hateful, obscene or otherwise violates applicable laws or regulations.

We may remove content, limit distribution, or suspend or terminate access for violations.

8. USE OF THE SERVICES

Lythe provides conversation infrastructure that enables organisations to build persistent, context-aware interactions across chat and voice channels. We do not control how organisations or users utilise AI-generated outputs and do not take responsibility for any actions taken based on those outputs. We do not provide professional advice and do not guarantee the accuracy, completeness or suitability of any AI-generated responses or recommendations.

9. CONTENT YOU SUBMIT

9A. Your ownership

You retain ownership of your Content.

9B. License to Lythe

You grant Lythe a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, modify (for formatting and processing), process and display your Content only to operate, maintain and improve the Services (including training and refining models) in accordance with our Privacy Policy.

9C. Your responsibilities

You represent that you have the rights needed to submit the Content and that it is lawful and not misleading. You must ensure your Content complies with these Terms and our Acceptable Use Policy.

10. INTELLECTUAL PROPERTY

The Services, including agentic workflows, branding and underlying software, are owned by Lythe or its licensors and are protected by intellectual property laws. You may not copy, reverse engineer or exploit the Services except as permitted by law or with our written permission.

11. THIRD-PARTY SERVICES

The Services may rely on third-party providers (e.g., messaging and voice platforms, cloud hosting, analytics, AI processing, mapping). Your use of those services is subject to their own terms and policies. Lythe is not responsible for third-party services or their terms.

12. SUSPENSION AND TERMINATION

We may suspend or terminate your access to the Services if we reasonably believe you:

  • violated these Terms;
  • created risk or possible legal exposure;
  • engaged in fraud or abuse; or
  • repeatedly disrupted the community or our systems.

You may stop using the Services at any time.

13. DISCLAIMERS

The Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Lythe disclaims all warranties, express or implied, including fitness for a particular purpose and non-infringement. Lythe does not guarantee that Services will be uninterrupted, timely, secure or error-free, or that AI outputs will be accurate or reliable.

14. LIMITATION OF LIABILITY

To the maximum extent permitted by law, Lythe will not be liable for any indirect, incidental, special, consequential or punitive damages, or any loss of profits, revenue, data, goodwill or other intangible losses arising from your use of (or inability to use) the Services.

To the maximum extent permitted by law, Lythe’s total liability for any claim relating to the Services will not exceed the greater of:

  • S$100; or
  • the amount you paid Lythe (if any) in the three months before the event giving rise to the claim.

(Some jurisdictions do not allow certain limitations; in that case, the limitation applies to the maximum extent permitted.)

15. INDEMNITY

You agree to defend, indemnify and hold harmless Lythe and its directors, officers, employees and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of:

  • your use of the Services;
  • your Content;
  • your integrations or actions using our agentic bots;
  • your violation of these Terms; or
  • your violation of any rights of another person or entity.

16. GOVERNING LAW

These Terms are governed by the laws of Singapore.

You agree to submit to the exclusive jurisdiction of the courts of Singapore, unless Lythe specifies an alternative dispute resolution process in writing.

17. CHANGES TO THESE TERMS

We may update these Terms from time to time. The updated version will be posted with a revised “Last Updated” date. If changes are material, we will take reasonable steps to notify you through the Services.
